Terms of Use

1. GENERAL

Crumbl is designed to provide a Site for Users to have access to products offered by Crumbl Pte Ltd. The use of this site is governed by the Terms of Use published here in.

By accessing, using and/or posting messages on the Site, you agree to be bound by the following Terms of Use. Please DO NOT use, access, read and/or post messages on the Site and kindly exit from this site if you do not agree to be bound by the Terms of Use. The Terms of Use can be modified by Crumbl at any time and the revised Terms of Use will be posted herein.

Your continued use of the Site after these amendments constitutes your acceptance of the modified Terms of Use.

2. DEFINITIONS

"Users" means the persons who use the Site, including but not limited to those Users who have provided registration information to Crumbl and Users authorised by their corporations to use the Site on their behalf, and "User" shall mean any one of them.

3. GENERAL DISCLAIMER

1. This site is provided by Crumbl as a convenience to Users and any information available on the Site does not originate from Crumbl. The opinions, views and information expressed in the Site messages are entirely those of the Users and Furniture Vendors involved and not the opinions of Crumbl. Therefore, Crumbl accepts NO liability for any loss arising out of the use of the information, views, opinions, ideas and/or recommendations on the Site.

2. Given the real-time nature of the Site, it is impossible for Crumbl to pre-edit, review screen or confirm the validity of the messages posted herein. Crumbl is NOT responsible for the content, reliability, accuracy and/or completeness of any of the posted messages nor does it endorse the same. In particular,

   1. Crumbl does not review, screen or edit messages posted on the Site by Users. Nevertheless, Crumbl reserves the right to monitor, modify and/or remove any messages posted on the Site at any time, without notice, in its sole discretion. Whether or not we modify or remove such information, Users remain solely responsible for the content of their postings.

   2. Users must understand that messages posted on the Site may prove to be, either intentionally or unintentionally, untrue, misleading, deceptive and/or wrong. It is important for Users to exercise discretion and caution as well as to carry out independent investigations before making any decisions based on the posted information on the site. Users who rely on the posted information do so solely at their own risks.

3. Crumbl respects the privacy of the Site Users. However, Crumbl reserves the right to disclose any personal information when required by law, lawful government requests and good-faith belief that such action is necessary to comply with legal process and Crumbl shall not be liable to the User(s) for any cost, claim, liability, expense, demand or damages whatsoever (including loss of profits, lost savings, direct, indirect, special, incidental or punitive losses or consequential damages arising out of the disclosure of such information. Crumbl may, from time to time, send the User further information (by post, email, fax or otherwise) relating to products or services, or pass your information to third party organisations which Crumbl feels may be of interest to the User. The User may notify Crumbl at any time if the User wishes to cease receiving this further information by sending an email message to XXX

4. Crumbl may, in its sole discretion, ban or suspend any User, who violates any of the Terms of Use, from using the Site.

5. Crumbl reserves the right at any time and from time to time to modify or discontinue the services provided by the Site, temporarily or permanently, without notice. Crumbl shall not be liable to the User or to any third party for any cost, claim, liability expense, demand or damages whatsoever (including loss of profits, lost savings, direct, indirect, special, incidental or punitive losses or consequential damages arising out of any modification, suspension or discontinuance of the services of the Site.

6. Crumbl makes no warranty that the Site service will be timely, uninterrupted, secure or free of errors or system failures. Crumbl disclaims all liability in the event of any service failure.

4. USER CONDUCT

1. You agree that you WILL NOT use the Site to:

   1. Post, display or disseminate any information, data, text, and/or other materials ("CONTENT") that is defamatory, invasive of a persons privacy, knowingly false, obscene, abusive, indecent, vulgar, harmful, hateful, harassing, or would otherwise, violate any laws;

   2. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

   3. Post, display or disseminate any CONTENT that is politically, racially, ethnically or otherwise objectionable.

   4. Post, display or disseminate any CONTENT that is copyrighted or protected by intellectual property laws or under contractual or fiduciary relationships, unless you own or control the rights thereto or have received all necessary consents from the legal owners.

   5. Transmit or disseminate viruses, worms, Trojan horses or other harmful, disruptive or destructive files;

   6. Transmit messages that constitute offers to buy or sell securities or a class of securities;

   7. Post information to manipulate or attempt to manipulate the manner for any security or securities;

   8. Post material, non-public information about companies;

   9. Transmit or post messages or content that violates any applicable local, state, national, international or foreign law, rules, regulations;

   10. Use the Site in any way which would deprive other Users of their legitimate right to use the Site;

   11. Use the Site for any unlawful or illegal activity;

   12. Post, display or disseminate any CONTENT for advertising and promotion of any product or service, or any other form of solicitation unless express written authorization is obtained in advance from Crumbl;

   13. Post, display or disseminate any junk mail, spam, chain letters or pyramid schemes.

1. You agree to use the Site only to post and receive messages that are proper and related to the particular Site topic. Messages that are clearly improper, irrelevant or in violation of these Terms of Use and off-topic may be modified pursuant to Clause 3.b.i.

2. You agree and accept that by posting messages on the Site, you will be deemed to have granted Crumbl and its successors and assigns a worldwide, perpetual, royalty free, non revocable, non-exclusive permission/licence and fully sub-licensable right to redistribute, reproduce, modify, adapt, publicly perform and/or publicly display, by transmission and/or otherwise, the CONTENT, for any purpose, without charge or liability.

3. Please post only ONE copy of each message. You may need to refresh your browser to see your posted message.

4. You understand that you are solely responsible for the CONTENT of all messages you post and the consequences of any such postings. You agree to indemnify and hold Crumbl, and its affiliates, officers, agents or other partners, and employees, harmless from any claim or demand, including legal costs on a full indemnity basis, arising out of your violation of these Terms of Use.

5. You agree and accept that you will not redistribute, reproduce, modify, adapt, publicly perform and/or publicly display, by transmission and/or otherwise, in whole or in part, any of the CONTENT on the Site, for any purpose, without prior written authorisation from Crumbl.

6. You agree to receive promotional e-mailers that will be sent out from Crumbl from time to time.

5. SEVERABILITY

If any provision of these Terms of Use is found or held to be invalid or unenforceable, then the meaning of such provision shall be construed to the fullest extent allowed by law so as to render the provision valid and enforceable, and if no such constructions is possible, the invalidity or unenforceability of such provision shall not affect the other provision of the Terms of Use and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect and parties shall use their best efforts to negotiate, in good faith, a substitute, valid and enforceable provision or agreement which achieves to the greatest extent possible the economic, legal and commercial objectives of the invalid or unenforceable provision.

6. GOVERNING LAW AND JURISDICTION

These Terms of Use are to be governed by and construed in accordance with the laws of the Republic of Singapore. The User and Crumbl hereby expressly submit to the exclusive jurisdiction of the Singapore Courts.
